TAAL.COM (the “TAAL Site”) is a website operated by TAAL Technologies SEZC and/or its affiliates (“TAAL” , “we”, “us”, “our”).
Welcome to the TAAL Site. We provide the TAAL Site to you subject to the following terms of use (the “Site Terms”). By visiting the TAAL Site, you accept the Site Terms and you agree to comply with them. If you do not agree to these Site Terms, you must not use the TAAL Site. Please ensure to read the Site Terms carefully. In addition, when you use any current or future TAAL services, content or other materials, you also will be subject to the TAAL Client Agreement or other agreement governing your use of our services (the “Agreement”).
These Site Terms refer to the following additional terms, which also apply to your use of the TAAL Site:
- Privacy Policy, which sets out how we process personal data we receive from you. If you do not wish your personal data to be processed in this way, you should not use the TAAL Site.
- Cookie Notice, which sets out information about the cookies on the TAAL Site.
In some instances, additional terms and conditions, such as a software or product license, may apply to a service or product offered via the TAAL Site (“Additional Terms”). To the extent there is a conflict between these Site Terms and any Additional Terms, the Additional Terms will control with respect to such service or product unless the Additional Terms expressly state otherwise.
CHANGES TO THE SITE TERMS AND TAAL SITE
We amend these Site Terms from time to time. Please check these Site Terms to ensure you understand the provisions that apply.
We may also update and change the TAAL Site from time to time. We do not guarantee that the TAAL Site, or any content on it, will always be available or be uninterrupted and we may suspend or withdraw or restrict the availability of all or any part of the TAAL Site at any time.

Please review our Privacy Policy and Cookie Notice, which also governs your visit to the TAAL Site, to understand our practices.
ELECTRONIC COMMUNICATIONS
When you visit the TAAL Site or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the TAAL Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
USING MATERIAL ON THE TAAL SITE
We are the owner or the licensee of all intellectual property rights in the TAAL Site, and in the material published on it. Those works are protected by copyright laws, trademark laws and patent laws and all such rights are reserved. You may print off one copy, and download extracts, of any page(s) for your personal use and you may draw the attention of others within your organization to content posted on the TAAL Site.
You must not modify materials you have printed off or downloaded, and you must not use illustrations, photographs, video or audio sequences separately from accompanying text. Our status (and that of any identified contributors) as authors of content on the TAAL Site must always be acknowledged.
You must not use any part of the content on the TAAL Site for commercial purposes without obtaining a license to do so from us via [email protected], or as otherwise expressly stated.
You may not probe, scan or test the vulnerability of the TAAL Site or any network related or supporting to the TAAL Site, nor breach the security or authentication measures on the TAAL Site or any network related or supporting the TAAL Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the TAAL Site.
You may not use the TAAL Site or any content for any purpose that is unlawful or prohibited by these Site Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of TAAL.
LICENSE AND TAAL SITE ACCESS
TAAL grants you a limited license to access and make personal use of the TAAL Site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of TAAL. This license does not include any resale or commercial use of the TAAL Site or its contents; any derivative use of the TAAL Site or its contents; any downloading or copying of account information; or any use of data mining, robots, or similar data gathering and extraction tools. Unless otherwise specified by TAAL in a separate license, your right to use any software, data, documentation, or other materials that you access or download through the TAAL Site is subject to these Site Terms or, if you have an TAAL account, the Agreement.
The TAAL Site or any portion of the TAAL Site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of TAAL. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of TAAL without express written consent. You may not use any meta tags or any other “hidden text” utilizing TAAL’s name or trademarks without the express written consent of TAAL. Any unauthorized use terminates the permission or license granted by TAAL. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of the TAAL Site, so long as the link does not portray TAAL, or its products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any TAAL logo or other proprietary graphic or trademark as part of the link without our express written permission.
YOUR ACCOUNT
If you use the TAAL Site, you are responsible for maintaining the confidentiality of your TAAL account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. TAAL reserves the right to refuse service, terminate accounts, remove or edit content in its sole discretion.
You may not use a false e-mail address, impersonate any person or entity.
NO OFFER OR ADVICE
All content on the TAAL Site is for information purposes only and does not constitute an advertisement. You should obtain independent advice before relying on information on the TAAL Site
The content on the TAAL Site is provided for general information only and is not intended to constitute and is not advice on which you should rely. You must obtain professional advice before taking, or refraining from, any action on the basis of content on the TAAL Site.
Although we make reasonable efforts to update the information on the TAAL Site, we make no representations, warranties or guarantees, whether express or implied, that the content on the TAAL Site is accurate, complete or up to date.
CONTENT
You and third parties may be permitted to upload certain software (including machine images), data, text, audio, video, images or other content (“Third Party Content”) to community areas of the TAAL Site. You acknowledge that (a) TAAL has not tested or screened Third Party Content, (b) you use any Third Party Content is at your sole risk, and Third Party Content may be subject to separate license terms as determined by the person posting such content.
You represent and warrant that you own or otherwise control all of the rights to the content, including any Third Party Content, that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify TAAL for all claims resulting from content you supply. TAAL has the right but not the obligation to monitor and edit or remove any activity or content. TAAL takes no responsibility and assumes no liability for any content posted by you or any third party.

The TAAL Site may include links to other websites or online services.
Where the TAAL Site contains links to other sites and resources provided by third parties, these links are provided solely for your convenience as pointers to information on topics that may be useful to users of the TAAL Site. Such links should not be interpreted as approval endorsement or confirmation by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources. Activating some links to third-party websites on the TAAL Site may cause you to leave the TAAL Site. TAAL provides no warranties and excludes all liability concerning the content of such websites, including assurances that it is correct, accurate, complete, true, up-to-date or fit for any particular purpose. Nor does TAAL warrant that such website or content is free from any claims of copyright or trademark or other infringement of the rights of third parties or that such site or content is free of viruses or other harmful components. Using links to third-party websites provided on the TAAL Site is at your sole discretion and risk.
You should note that third-party websites are not subject to TAAL Data Privacy Policy and TAAL is not responsible for the policies they apply with regard to collection and treatment of personal data. We recommend that you carefully read the terms of use and data privacy policies governing the third-party website before using it in order to check how it protected personal data and privacy.
Liability, Loss or Damage
TAAL makes no claim or representations regarding accuracy or completeness of the content of the TAAL Site, the result obtained or to be obtained by any user of the TAAL Site, and/or any third-party content accessible on or through the TAAL Site.
Except to the extent required by law, TAAL disclaims all warranties and conditions and does not warrant that the TAAL Site, the content on the TAAL Site or its server will be uninterrupted or free from error, defects or harmful components.
The user’s participation, correspondence or business dealings with any third-party found on or through the TAAL Site are solely between the user and such third party.
To the greatest extent permitted pursuant to applicable laws, we exclude all liability for loss arising as a direct or indirect result of the content of the TAAL Site or any links or third party content; any errors in or omissions from the TAAL Site; use of or access to the TAAL Site; any inability to access or use the TAALSite for any reason. We exclude all implied conditions, warranties, representations or other terms that may apply to the TAAL Site or any content on it. In particular, we will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.
This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, and liability for fraud or fraudulent misrepresentation.
You agree to defend, indemnify and hold harmless TAAL, its subsidiaries, affiliates, directors, shareholders, predecessors, successors in interest, agents, employees, third party information providers and independent contractors from any demands, loss, liability, claims or expenses (including attorney’s fees), arising out of or related to your conduct, your use or inability to use the TAAL Site, your breach or alleged breach of the Site Terms or of any representation or warranty contained therein, your unauthorized use of the website content, or your violation of any rights of another.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
THE TAAL SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING ANY SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE TAAL SITE ARE PROVIDED BY TAAL ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN THE AGREEMENT. TAAL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE TAAL SITE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING ANY SOFTWARE) OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE TAAL SITE, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE TAAL SITE IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, TAAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TAAL DOES NOT WARRANT THAT THE TAAL SITE; INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING ANY SOFTWARE) OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE TAAL SITE; ITS SERVERS; OR E-MAIL SENT FROM TAAL ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TAAL WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE TAAL SITE OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE TAAL SITE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN THE AGREEMENT. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
APPLICABLE LAW
This Agreement shall be governed by and shall be construed and interpreted in accordance with the laws of the Cayman Islands and/or other obligations of a party in these Site Terms to comply with applicable data protection laws of the Cayman Islands, each of the parties hereby consent to the non-exclusive jurisdiction of the courts of the Cayman Islands.
VIRUSES
We do not guarantee that the TAAL Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access the TAAL Site. You should use your own virus protection software.
You must not misuse the TAAL Site by knowingly introducing viruses, trojan horses, worms, logic bombs or other malicious or technologically harmful material. You must not attempt to gain unauthorized access to the TAAL Site, the server on which the TAAL Site is stored or any server, computer or database connected to the TAAL Site. You must not attack the TAAL Site via a denial-of-service attack or a distributed denial-of service attack.
By breaching this provision, you would commit a criminal offence under relevant laws and such breaches will be reported to the relevant law enforcement authorities. In the event of such a breach, your right to use the TAAL Site will cease immediately.
TERMINATION
We reserve the right to terminate your access to and use of the TAAL Site, without notice and liability, including, without limitation, if we believe your conduct fails to conform with these Site Terms. We also reserve the right to investigate suspected violations of these Site Terms.
SITE POLICIES, MODIFICATION, AND SEVERABILITY
Please review our other policies on the TAAL Site. These policies also govern your visit to the TAAL Site. We reserve the right to make changes to the TAAL Site, policies, and these Site Terms at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
